Terms of Use
Welcome to Timan IT Consultancy (“Timan”, “we”, “us” or “our”). These Terms of Use govern your access to and use of our website, digital platforms and services. By accessing our website, submitting an enquiry, requesting a quotation, engaging our services or otherwise using our services, you acknowledge that you have read, understood and agree to be bound by these Terms of Use.
If you do not agree with these Terms, you should not use our website or engage our services.
These Terms are intended to apply together with any quotation, proposal, statement of work, service agreement, invoice or other written agreement issued by Timan. Where there is an inconsistency between these Terms and a specific written agreement entered into with a client, the specific written agreement will generally apply to the extent of that inconsistency.
About Timan
Timan IT Consultancy is a digital marketing, software development and technology company providing services to businesses and organisations.
Our services may include digital marketing, social media management, search engine optimisation, Google management, paid advertising, performance marketing, website development, web application development, software development, CRM and ERP solutions, UI/UX design, graphic design, video and creative services, IT support, cybersecurity consulting, endpoint security, vulnerability assessment and penetration testing, website maintenance, technology consulting and other related services.
The exact services provided to a client will depend on the relevant quotation, proposal, statement of work or agreement.Acceptance of Services
When you approve a quotation, proposal, statement of work or other service agreement, provide written approval to commence work, make a payment for services, or instruct Timan to begin work, you acknowledge and accept the applicable scope, pricing and terms.
Where services are provided on a recurring basis, the applicable subscription, retainer or recurring service arrangement will continue until terminated in accordance with the relevant agreement or these Terms.Scope of Services
The scope of each project or engagement will generally be described in the applicable quotation, proposal, statement of work or service agreement.
The agreed scope may include specific deliverables, services, milestones, timelines, revisions, fees and other requirements.
Timan will use reasonable professional efforts to deliver the agreed services. However, project outcomes and timelines may depend on information, approvals, access, third-party services and other factors outside Timan's reasonable control.
Services not expressly included in the agreed scope may be treated as additional work and may incur additional fees.Client Responsibilities
Clients are responsible for providing Timan with accurate, complete and timely information, materials, instructions, access credentials, approvals, feedback and other resources reasonably required to provide the services.
Clients must ensure that information and materials supplied to Timan are accurate and that they have the legal right and authority to provide and use those materials.
Where a client delays providing information, access, feedback, approvals or other requirements, Timan may adjust the project timeline accordingly.
Timan will not generally be responsible for delays or additional costs caused by a client's failure to provide information, access, approvals or instructions within the required timeframe.Client Accounts and Access
Where Timan requires access to third-party platforms, websites, advertising accounts, social media accounts, hosting accounts, domain accounts, software systems or other client systems, the client authorises Timan to use that access solely for the purpose of providing the agreed services.
Clients remain responsible for maintaining ownership of their accounts and ensuring that Timan is provided with appropriate permissions.
Clients should not provide unnecessary passwords or sensitive credentials where a secure invitation, delegated access or alternative authentication method is available.
Clients are responsible for maintaining appropriate access to their own systems and for promptly notifying Timan if access should be removed or changed.Changes to Scope and Additional Work
Requests that fall outside the agreed scope may be treated as additional work.
Additional work may include significant design changes, additional pages or features, additional revisions, new software functionality, additional marketing campaigns, additional content, additional integrations, additional technical requirements or other work not included in the original agreement.
Where reasonably practicable, Timan will notify the client before commencing significant additional work and may provide an additional quotation or estimate.
Changes requested after a deliverable has been approved may result in additional fees and may extend the delivery timeframe.Project Timelines and Delivery
Any timeframe provided by Timan is an estimate unless a specific completion date has been expressly agreed in writing.
Project timelines may be affected by client delays, changes in requirements, third-party platforms, technical issues, availability of resources, approval delays, unexpected development requirements and circumstances outside Timan's reasonable control.
Timan will make reasonable efforts to meet agreed or estimated deadlines but does not guarantee that every project will be completed by a particular date unless expressly agreed in writing.Revisions and Approvals
Where revisions are included in a proposal or agreement, they will be limited to the number and type of revisions specified in that agreement.
Once a client approves a design, website, advertisement, creative asset, software feature, content or other deliverable, subsequent changes may be treated as additional work.
Clients are responsible for reviewing deliverables carefully and providing accurate feedback and approval.
Timan will not be responsible for errors that were present in an approved deliverable where the client had a reasonable opportunity to identify and correct those errors before approval.Fees and Payments
Fees and payment terms will be specified in the applicable quotation, proposal, invoice, subscription, service agreement or other written arrangement.
Unless otherwise agreed in writing, invoices are payable by the due date specified on the invoice.
Timan may require deposits, advance payments, milestone payments, recurring payments or other payment arrangements depending on the nature of the services.
If payment is overdue, Timan may, where reasonably appropriate, suspend or delay services until outstanding amounts are paid.
Suspension of services due to non-payment may affect project timelines, advertising campaigns, website maintenance, software development, support services or other deliverables.
The client remains responsible for fees incurred before suspension or termination.Refunds and Cancellation
Fees for services that have already been performed, commenced, allocated or delivered are generally non-refundable except where a refund is required under applicable law or expressly agreed in writing.
Where a project is cancelled after work has commenced, the client may remain responsible for work completed, expenses incurred, third-party costs and other amounts properly payable under the relevant agreement.
Where a recurring service is cancelled, the applicable notice period and cancellation terms contained in the relevant agreement will apply.
Nothing in these Terms excludes or limits any rights or remedies that cannot legally be excluded under the Australian Consumer Law.Intellectual Property
Unless otherwise agreed in writing, Timan retains ownership of its pre-existing intellectual property, systems, processes, methodologies, templates, frameworks, software libraries, source materials, internal tools, know-how, concepts and other materials developed or owned independently of a particular client project.
Client-provided materials, including trademarks, logos, photographs, videos, written content, databases and other materials supplied by the client, remain the property of the client or their respective owners.
Subject to full payment of all amounts owing for the relevant project, the client will receive the ownership or licence rights expressly specified in the applicable quotation, proposal or agreement for the final deliverables.
Payment for a project does not automatically transfer ownership of Timan's underlying tools, frameworks, reusable code, templates, processes or pre-existing intellectual property unless expressly agreed in writing.Software and Source Code
Where Timan develops software, websites, applications, plugins, integrations or other technology solutions, ownership and licensing of source code and other intellectual property will be determined by the applicable agreement.
Unless expressly agreed otherwise, Timan may retain ownership of reusable frameworks, libraries, components, development tools, methodologies, code structures and other pre-existing or independently developed technology used in delivering a project.
Third-party software, libraries, plugins, APIs, open-source components and other external technology remain subject to their respective licences and terms.Third-Party Platforms and Services
Our services may rely on third-party platforms and technologies, including advertising platforms, search engines, social media platforms, hosting providers, domain registrars, content management systems, software providers, payment providers, analytics platforms, cloud services, APIs and other technology providers.
These third parties operate independently of Timan.
Timan is not responsible for changes to third-party policies, algorithms, pricing, functionality, account restrictions, suspensions, outages, security incidents, technical failures or other actions or events caused by third-party providers.
Where a third-party service is necessary for the delivery of a project, the client may be required to maintain its own account or subscription and pay the relevant third-party fees.Digital Marketing and Advertising Results
Digital marketing, SEO, social media management, paid advertising and performance marketing involve variables that may be outside Timan's reasonable control.
Results may be affected by market conditions, competition, advertising budgets, audience behaviour, platform algorithms, search engine changes, account history, industry conditions, client responsiveness, website performance, pricing, products or services and other factors.
Timan will use reasonable professional efforts and industry-standard practices where appropriate, but we do not guarantee specific search engine rankings, advertising results, impressions, clicks, leads, enquiries, sales, revenue, return on investment or business growth.
Any projections, estimates, forecasts or performance expectations provided by Timan are estimates only and should not be treated as guarantees.Search Engine Optimisation
SEO results are influenced by search engine algorithms, competition, website quality, content, technical factors, industry conditions and numerous other factors.
Timan does not guarantee that a website will achieve or maintain a particular search engine ranking or position.
Search engines may change their algorithms, policies or ranking systems without notice, and such changes may affect performance.Advertising Accounts
Where Timan manages advertising campaigns on behalf of a client, the client remains responsible for the accuracy and legality of the products, services, claims, offers, pricing and information promoted through the campaign.
Advertising platforms may reject, restrict, suspend or remove advertisements or accounts for reasons outside Timan's control.
Timan does not guarantee that an advertising platform will approve an advertisement or maintain an advertising account without interruption.
Advertising spend paid to third-party platforms is separate from Timan's professional fees unless expressly stated otherwise.Website Development and Software Services
Website and software development services may involve design, development, testing, hosting, integrations, third-party APIs, plugins, software libraries and other technologies.
Unless otherwise agreed, Timan does not guarantee that a website or software application will operate indefinitely without errors, interruptions or compatibility issues.
Technology environments change over time. Browser updates, operating system changes, third-party APIs, hosting changes, security vulnerabilities and software updates may require maintenance or further development.
Ongoing maintenance, updates, support, security monitoring and additional development may be subject to separate fees unless expressly included in the relevant agreement.Client Content and Materials
Clients are responsible for ensuring that all text, photographs, videos, trademarks, logos, software, databases, documents and other materials supplied to Timan are accurate and lawful and that the client has all necessary rights, licences, permissions and consents to use them.
The client grants Timan permission to use those materials solely to the extent reasonably necessary to provide the agreed services.
Timan is not responsible for copyright, trademark, privacy, defamation or other legal claims arising from materials supplied or authorised by the client, except to the extent caused by Timan's own unlawful conduct.Artificial Intelligence and Automated Tools
Timan may use artificial intelligence, automation and other technology tools to assist with software development, research, content creation, marketing analysis, design, testing, reporting, workflow automation and other business activities.
Where AI or automated tools are used in delivering services, the resulting output may require human review, editing, testing or verification.
AI-generated or automatically generated content may contain errors, inaccuracies or inconsistencies. Timan does not guarantee that AI-generated material will be completely accurate, unique or free from errors.
Where appropriate, Timan will take reasonable steps to review and validate AI-assisted outputs before delivery.Cybersecurity and IT Services
Where Timan provides cybersecurity, IT support, endpoint security, vulnerability assessment, penetration testing or related services, those services are intended to reduce risk but cannot eliminate all cybersecurity threats.
No cybersecurity service can guarantee that a system will never be compromised, attacked, breached or affected by malware, ransomware, unauthorised access or other security incidents.
Clients remain responsible for maintaining appropriate internal security practices, backups, access controls, policies and procedures unless those responsibilities have expressly been assigned to Timan under a written agreement.Confidentiality
Timan will take reasonable steps to maintain the confidentiality of confidential information provided by clients in connection with our services.
Confidential information will generally be used only for legitimate business purposes connected with providing the agreed services, except where disclosure is authorised by the client, required by law or reasonably necessary to provide the services through authorised service providers.
Clients are also expected to maintain the confidentiality of Timan's confidential business information, pricing, processes, technical information, proposals, systems and other proprietary information.Privacy
Personal information collected or handled by Timan is managed in accordance with our Privacy Policy, as updated from time to time.
Our Privacy Policy explains how we collect, use, disclose, store and protect personal information.
By using our website or services, you acknowledge that you have read and understood our Privacy Policy.Website Use

You must not use our website to interfere with its operation, gain unauthorised access to systems, introduce malicious code, attempt to obtain unauthorised information, impersonate another person, distribute unlawful material or otherwise engage in activity that may damage Timan, our systems, our clients or other users.
Timan may restrict or terminate access to our website where we reasonably believe that these Terms have been breached or that the website is being misused.Website Content and Information
We aim to ensure that information published on our website is accurate and current. However, website content may contain errors, omissions or information that becomes outdated.

You should obtain appropriate professional advice before making decisions based on information published on our website.Third-Party Links
Our website may contain links to websites, applications or services operated by third parties.
These links are provided for convenience and do not necessarily constitute an endorsement or recommendation.
Timan does not control third-party websites and is not responsible for their content, availability, security, privacy practices or terms.Client Responsibilities for Compliance
Clients are responsible for ensuring that their business, products, services, advertising claims, website content, customer communications and other activities comply with applicable laws and regulations.
Where Timan creates marketing or technology materials based on information supplied by a client, the client remains responsible for verifying the accuracy and legality of that information.
Timan does not provide legal advice unless expressly engaged to provide such advice by appropriately qualified professionals.Suspension of Services
Timan may suspend services where reasonably necessary, including where an account is overdue, the client has materially breached an agreement, required access or information has not been provided, continuing the service would create a security risk, a third-party platform has restricted access, or suspension is otherwise reasonably necessary to protect Timan, the client or another party.
Where reasonably practicable, Timan will notify the client before suspending services.Termination
Either party may terminate a service arrangement in accordance with the termination provisions of the applicable agreement.
Where no specific termination provisions have been agreed, either party may request termination by providing reasonable written notice.
Termination does not remove the client's obligation to pay amounts that became due before termination, including fees for services already performed and approved third-party expenses.
Upon termination, Timan may cease providing services and may revoke access to systems or services managed by Timan where reasonably necessary.Limitation of Liability
To the maximum extent permitted by law, Timan will not be liable for indirect, incidental, special or consequential loss, including loss of profits, revenue, business opportunities, goodwill, anticipated savings, data or advertising performance arising from or connected with the use of our website or services.
To the extent permitted by law, Timan's liability for any claim arising from services provided will be limited to the remedies available under the applicable agreement or, where no specific limitation applies, the amount paid by the client to Timan for the relevant services giving rise to the claim.
This limitation does not apply to liability that cannot lawfully be excluded or limited.Australian Consumer Law
Nothing in these Terms is intended to exclude, restrict or modify any consumer guarantee, right, remedy or other protection that cannot legally be excluded, restricted or modified under the Australian Consumer Law or other applicable legislation.
Where Australian Consumer Law applies to our services, you may have rights and remedies that cannot be excluded by these Terms.Indemnity
To the extent permitted by law, the client agrees to indemnify Timan against reasonable losses, claims, liabilities, costs or expenses arising from the client's unlawful use of our services, breach of these Terms, infringement of third-party rights, or materials supplied or authorised by the client, except to the extent that the relevant loss was caused by Timan's own negligence, unlawful conduct or breach of applicable law.
Force Majeure
Timan will not be responsible for delays or failure to perform services where the delay or failure results from circumstances beyond our reasonable control.
Such circumstances may include natural disasters, severe weather, telecommunications failures, internet outages, power failures, cyberattacks, third-party platform outages, government actions, changes in law, labour disruptions, major technology failures or other events that could not reasonably have been prevented or controlled by Timan.
Where such circumstances occur, Timan will use reasonable efforts to minimise the impact and resume services as soon as reasonably practicable.Changes to Our Services
Timan may modify, update, replace or discontinue parts of our website or services from time to time.
Where a change materially affects an existing client service, the relevant client agreement will determine how the change is handled.
Third-party services used as part of our services may also change independently of Timan.Changes to These Terms
We may update these Terms of Use from time to time to reflect changes in our services, business practices, technology, legal requirements or operating arrangements.
The updated version will be published on this page and will include a revised “Last Updated” date.
Where required by law or applicable agreement, we will provide additional notice of material changes.
Your continued use of our website after an updated version is published constitutes acceptance of the updated Terms to the extent permitted by law.Governing Law and Jurisdiction
These Terms are governed by the laws applicable in Australia and, where applicable, the laws of the State of Queensland.
You agree that disputes arising in connection with these Terms or our services will be subject to the applicable courts and tribunals with jurisdiction in Queensland, Australia, unless another jurisdiction is required by law or agreed in writing.Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or modified to the extent necessary to make it enforceable where legally possible.
If it cannot be made enforceable, the provision will be severed without affecting the validity of the remaining provisions. No Waiver
A failure or delay by Timan to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision or any other provision in the future.
